End User License Agreement
Terms and conditions for using Agora Studio extensions for Microsoft Dynamics 365 Business Central.

Overview
This End User License Agreement ('EULA') is a binding legal agreement between you or the entity you represent ('Licensee' or 'You') and Agora Studio ('Licensor,' 'We,' or 'Us') for the use of our Microsoft Dynamics 365 Business Central extensions ('Software'). By installing, copying, or using the Software, you agree to be bound by the terms of this EULA.
1. License Grant
Agora Studio grants You a perpetual (lifetime), worldwide, limited, non-exclusive, non-transferable, and non-sublicensable license to install and use the specific licensed version of the Software within your Microsoft Dynamics 365 Business Central environment solely for your internal business purposes. This license applies only to the version of the Software purchased and does not grant rights to future major releases, upgrades, or additional features unless separately purchased.
2. License Restrictions
You may not, and may not permit others to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive or access the source code of the Software.
- Modify, adapt, translate, or create derivative works based on the Software.
- Rent, lease, lend, sell, redistribute, transfer, sublicense, or provide the Software to third parties.
- Remove, alter, or obscure any copyright, trademark, or proprietary notices from the Software.
- Use the Software in violation of any applicable law or regulation.
3. Intellectual Property
The Software is licensed, not sold. Agora Studio retains all ownership, rights, title, and interests in and to the Software, including all intellectual property rights such as copyrights, patents, trademarks, and trade secrets. No rights are granted to You other than those expressly set forth in this EULA.
4. Updates, Upgrades, and Compatibility
This EULA includes only bug fixes or hotfixes for the purchased version of the Software, delivered at Agora Studio's discretion. This license does not include any rights to future versions, enhancements, functional upgrades, or features. Agora Studio does not guarantee compatibility of the Software with future releases or updates of Microsoft Dynamics 365 Business Central. Upgrades or new versions, if offered, may require a separate purchase or license agreement.
5. Support and Maintenance
Support is limited solely to correction of reproducible errors (bug fixes) in the licensed version of the Software. Support does not include custom development, implementation services, configuration, training, data migration, or consulting. No service level agreements (SLAs), guaranteed response times, or ongoing maintenance obligations are provided unless explicitly agreed in writing.
6. Term and Termination
This EULA is effective upon installation or use of the Software and remains in effect perpetually for the licensed version, unless terminated. Agora Studio may terminate this license immediately if You breach any term of this EULA. Upon termination, You must cease all use of the Software and destroy all copies of it. The following sections shall survive termination: Intellectual Property, Disclaimer of Warranty, Limitation of Liability, and Governing Law.
7. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT WARRANTY OF ANY KIND. AGORA STUDIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH FUTURE VERSIONS OF MICROSOFT DYNAMICS 365 BUSINESS CENTRAL.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGORA STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AGORA STUDIO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE.
9. Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law principles. Any disputes arising from or relating to this EULA shall be subject to the exclusive jurisdiction of the courts located in [Your City, Country/State], and You consent to such jurisdiction and venue.
10. Entire Agreement
This EULA constitutes the entire agreement between You and Agora Studio regarding the Software and supersedes any prior agreements, representations, or understandings, whether written or oral. Any modification or waiver must be in writing and signed by both parties.
